Terms Of Service
The terms of service.
Last updated January 2026 · Effective January 14, 2026
These Terms govern your access to and use of Sublayr’s platform, API, and related services (the “Service”). By creating an account or using the Service, you agree to be bound by these Terms on behalf of yourself or the organization you represent.
Accounts & Eligibility
You must provide accurate information to create an account and are responsible for activity under it. You must be at least 18 or the age of majority in your jurisdiction. You're responsible for safeguarding your API keys and credentials, and must notify us promptly of any unauthorized use of your account.
Acceptable Use
The Service may not be used in ways that cause harm, violate law, or abuse the platform. You may not deploy agents to generate illegal, fraudulent, or harmful content; attempt to bypass rate limits, security controls, or guardrails; reverse-engineer or resell the Service without written agreement; or use the Service in violation of applicable law or third-party rights.
Subscriptions & Billing
Paid plans are billed per the pricing and billing cycle selected at signup. Usage-based charges for successful agent runs are billed monthly in arrears. Subscription fees are billed in advance and are non-refundable except as required by law. You authorize us to charge your payment method on file. Failure to pay may result in suspension of the Service.
Service Levels & Support
We aim to provide reliable infrastructure, with specific uptime and support commitments detailed in your plan or a separate SLA. Uptime targets and support response times vary by plan. Enterprise SLAs are governed by a separate signed agreement where applicable.
Intellectual Property
We retain ownership of the Service; you retain ownership of your own content and configurations. Sublayr owns all rights to the platform, software, and underlying technology. You retain ownership of your agent configs, data, and content processed through the Service. You grant us a limited license to process your data solely to provide the Service.
6. Confidentiality
Each party agrees to protect the other's confidential information disclosed in connection with the Service, using it only for purposes related to this agreement. Standard exclusions apply, including public information, independently developed information, and legally compelled disclosure.
Warranties & Disclaimers
The Service is provided "as is" beyond the specific commitments made in your plan or SLA. We do not warrant the Service will be uninterrupted or error-free beyond stated SLA commitments, and we disclaim all implied warranties to the maximum extent permitted by law.
Limitation of Liability
To the maximum extent permitted by law, our liability under these Terms is limited. Neither party is liable for indirect, incidental, or consequential damages. Total liability is capped at fees paid in the 12 months preceding the claim. Some jurisdictions do not allow these limitations, in which case they apply to the extent permitted.
Termination
Either party may terminate this agreement under the conditions below. You may cancel your subscription at any time via account settings. We may suspend or terminate accounts for breach of these Terms. Upon termination, you may export your data for 30 days before deletion.
Governing Law
These Terms are governed by the laws of [State/Country], without regard to conflict-of-law principles.
Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to account admins by email, with the effective date updated above. Continued use of the Service after changes take effect constitutes acceptance.
